Nova.io provides technology services including but not limited to: - AI and machine learning development - Web and mobile application development - Cloud infrastructure and migration - Cybersecurity consulting and audits - IT managed services and helpdesk support - Blockchain development The specific scope, deliverables, timeline, and fees for any engagement are set out in a separate written agreement or Statement of Work (SOW) between Nova.io and the client.

3. Website Use

You may use our website for lawful purposes only. You agree not to: - Use the website in any way that violates applicable laws or regulations - Transmit any unsolicited or unauthorised advertising or promotional material - Attempt to gain unauthorised access to any part of the website or its related systems - Transmit any harmful, offensive, or disruptive content - Use automated tools to scrape, crawl, or extract data from the website without permission We reserve the right to suspend or terminate access to the website for any user who violates these terms.

4. Intellectual Property

For client projects, intellectual property ownership is determined by the relevant project agreement. Unless otherwise agreed in writing, upon full payment, clients receive ownership of the custom deliverables created specifically for them, while Nova.io retains ownership of any pre-existing tools, frameworks, libraries, or background intellectual property used in delivery.

5. Confidentiality

Any business information, technical details, or proprietary data shared with Nova.io in connection with an engagement will be treated as confidential and will not be disclosed to third parties without your consent, except as required by law or necessary to deliver the agreed services. Clients are similarly expected to treat Nova.io's processes, methodologies, pricing, and proprietary tools as confidential.

6. Payment Terms

Payment terms for services are specified in the applicable project agreement or SOW. Unless otherwise agreed: - A deposit may be required before work commences - Invoices are payable within 14 days of issue - Late payments may incur interest charges at the rate specified in the project agreement - Nova.io reserves the right to suspend work on any project where payment is overdue All fees are quoted exclusive of applicable taxes unless stated otherwise.

7. Limitation of Liability

To the fullest extent permitted by law, Nova.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from: - Your use of or inability to use our website or services - Any errors, interruptions, or inaccuracies in the website or services - Unauthorised access to or alteration of your transmissions or data Our total liability for any claim arising from a project engagement shall not exceed the total fees paid by you for the specific services giving rise to the claim in the 12 months preceding the event.

8. Warranties and Disclaimers

For services engagements, any warranties are as specified in the written project agreement. Upon termination of a project engagement, each party's obligations regarding confidentiality, intellectual property, and outstanding payments shall survive.

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or your use of our website or services shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.
